Chapter 3 - The Shadow Board

The synthetic voice echoed in my head long after the line went dead. I stared at the phone screen, the cold chill of betrayal settling back into my bones, deeper and far more dangerous than before.

"Elena? What was that?" Marcus asked, stepping around the long mahogany table, his legal composure slipping for the first time. "Who was on the phone?"

"Get my personal banking credentials on the secure terminal right now," I said calmly, forcing my breathing to steady. "Now, Marcus."

Marcus didn't hesitate. He pulled up the high-security portal for my private asset management portfolio on his encrypted laptop. As the chief financial strategist of the family empire, my personal holdings represented twenty-eight percent of the total voting stock in Vance Global—the swing vote that maintained our family's absolute majority over the enterprise.

He typed in the multi-factor authentication, and the screen flashed red.

ACCESS DENIED. ACCOUNT SUSPENDED BY EXECUTIVE ORDER.

"That's impossible," Marcus muttered, his fingers flying across the mechanical keyboard. "Suspended? Under whose authority? You are the CFO!"

"Try the family trust master ledger," I instructed, standing over his shoulder.

He accessed the secondary layer. The page loaded slowly, bar by bar, revealing a horrifying financial reality. My entire equity block—worth over eighty million dollars—had been flagged under an emergency "incapacity clause." According to the digital audit trail logged just twenty minutes ago, an emergency board motion had been pushed through using my forged digital signature, transferring my voting proxy to an offshore custodian entity registered under the name Apex Holdings.

"They used the medical documents," I realized, the blood running cold in my veins. "The fertility treatments... the hormone therapy records from the clinic."

"What are you talking about?" Marcus asked, looking up at me in disbelief.

"Julian didn't just document my fertility treatments to cover his vasectomy," I explained, the pieces falling together with sickening clarity. "He was building a paper trail to prove I was emotionally and mentally unstable due to aggressive hormonal therapy. They used those clinic records to invoke Clause 14 of the family trust charter—the mental incapacity clause!"

"If you are deemed medically incapacitated, your voting rights automatically revert to the Vice Chairman of the board," Marcus whispered, his face turning pale.

The Vice Chairman of Vance Global Enterprises wasn't Julian. Julian was merely the Head of Acquisitions.

The Vice Chairman was my uncle, Richard Vance—my father's elder brother, a quiet, unassuming man who had spent the last decade living in semi-retirement on his estate in Aspen, appearing only for quarterly board dinners and charity galas.

"Uncle Richard," I breathed.

Before Marcus could respond, the heavy boardroom doors swung open.

Standing in the doorway was not a team of lawyers or corporate guards, but my brother Brandon. His tie was loosened, his hair disheveled, and his eyes were wild with shock.

"Elena, you need to come to the main atrium right now," Brandon said, his voice straining. "There are federal agents downstairs."

"Federal agents?" I repeated, pushing past Marcus. "For Julian?"

"Not for Julian," Brandon said, looking at me with absolute despair. "For you."

We hurried down the grand spiral staircase leading to the glass-walled lobby of Vance Global headquarters. Down below, four agents in dark suits bearing Securities and Exchange Commission badges were standing near the security turnstiles, flanked by two armed Federal Marshals.

A crowd of lower-level employees had gathered along the balconies, whispering and taking videos on their phones.

The lead agent, a tall woman with sharp grey eyes and a silver badge pinned to her lapel, stepped forward as I reached the ground floor.

"Elena Vance?" she asked formally.

"I am Elena Vance, CFO of Vance Global," I replied, standing tall despite the exhaustion tearing through me. "May I ask what this is about?"

"I am Special Agent Sarah Hayes with the SEC Enforcement Division," the woman stated, pulling a folded federal warrant from her breast pocket. "We are executing a search warrant for all personal and corporate digital servers under your direct control. Furthermore, we are serving you with an immediate cease-and-desist order barring you from entering any Vance Global properties or accessing company financial networks."

"On what grounds?" Marcus interjected, stepping in front of me as my legal counsel. "Mrs. Vance is the victim of systematic fraud perpetrated by her estranged husband, whom we have just removed from the company!"

Agent Hayes didn't flinch. "Three hours ago, an anonymous whistleblower submitted encrypted bank records and internal communications to the Department of Justice. The evidence indicates that Mrs. Vance was the primary architect of a five-year insider trading scheme, using shell corporations in the Cayman Islands to siphon corporate assets while framing her husband, Julian Vance."

"That is a complete lie!" Brandon shouted, stepping forward aggressively. "Julian was caught red-handed in an emergency room last night! He signed a full confession less than an hour ago!"

"Any confession signed under physical duress or blackmail is legally void," Agent Hayes replied calmly. "Mr. Julian Vance is currently under protective custody at Saint Anthony Hospital, where his legal team has already filed federal charges against Elena Vance for false imprisonment, physical assault via toxic substances, and corporate sabotage."

I felt the ground sway beneath my feet.

Julian had flipped the narrative.

The industrial glue incident—the very revenge I had orchestrated to humiliate him—was now being weaponized against me as a premeditated chemical attack designed to force a confession under duress. And while I had been focused on exposing his affair and his vasectomy, his true puppet master had used that precise window of time to seize my stock, freeze my assets, and drop a federal indictment on my head.

"Miss Vance," Agent Hayes said, stepping closer and pulling out a pair of steel handcuffs. "You have the right to remain silent..."

"Wait!" I said, holding up my hand. "Look at the IP logs on the whistleblower submission. Please. Just check the digital signature on the override file."

Agent Hayes paused, looking at me with a slight frown. "The submission came directly from your private office server upstairs at 1:45 AM last night."

At 1:45 AM last night, I was standing in the emergency room waiting area at Saint Anthony Hospital, waiting for the surgeons to separate my husband from my sister-in-law.

"I was at Saint Anthony Medical Center at 1:45 AM," I declared, my voice echoing through the glass lobby for every employee to hear. "Check the hospital security footage! Check the call logs! I wasn't anywhere near this building!"

Agent Hayes remained stoic, but she gestured for her partner to lower the handcuffs slightly. "That is a matter for the grand jury to evaluate, Miss Vance. For now, you are coming with us for questioning."

"She isn't going anywhere without a formal arrest warrant, Agent Hayes," Marcus declared, stepping forward with his phone already ringing his senior litigation partners. "This is an administrative search warrant. You have no authority to detain her unless you are placing her under formal arrest right here, right now."

Agent Hayes glanced at the grand staircase, then back at me. She knew the evidence was murky, and arresting the CFO of a multi-billion-dollar firm on the lobby floor without an indictment was a procedural nightmare.

"Fine," Hayes said, slipping the handcuffs back into her belt. "You have until 5:00 PM tomorrow to turn over all personal hard drives, Miss Vance. If you attempt to leave the state of Colorado, or if you attempt to contact any members of the board, I will personally sign the federal warrant for your arrest. Do you understand?"

"Crystal clear," I said coldly.

The agents pushed past us, heading for the elevator banks to seize my office servers.

Brandon grabbed my arm, his face pale as death. "Elena... what do we do? Uncle Richard just called an emergency board meeting for tonight at his estate in Aspen. He’s taking over as interim CEO."

I looked out the glass doors of the lobby, where rain had begun to pelt the concrete pavement. The game had evolved. Julian was never the mastermind; he was just a arrogant, greedy distraction meant to keep my eyes off the real snake in the grass.

"We aren't going to Aspen, Brandon," I said, my voice hardening like cold iron as I turned to him. "We're going to find out who really provided that industrial adhesive to Julian's office three weeks ago."

"What?" Brandon asked, bewildered. "You bought the glue!"

"I bought industrial glue, Brandon," I whispered, leaning in so the gathering onlookers couldn't hear. "But the substance the doctors found on Julian and Serena last night wasn't commercial adhesive. The chief surgeon handed me the chemical analysis before they went into operating room three. It was a military-grade polymer—a compound sold exclusively to defense contractors."

I looked my brother dead in the eye. "I didn't set Julian up last night, Brandon. Someone swapped the glue I planted with a chemical compound that would guarantee they were hospitalized long enough to pull off this takeover."
